Freemasons Foundation Victoria Limited is a not-for-profit organisation, committed to supporting Victorian communities through philanthropic giving and the provision of grants, bursaries and scholarships, to support stronger and healthier Victorian communities.
Reporting to the CEO, the Finance Manager/Company Secretary is responsible for supporting the CEO and Board of Directors by ensuring the organisation complies with statutory and regulatory requirements, and by managing the company’s financial reporting, accounting, and investment management functions. The role is crucial in maintaining effective governance practices and providing sound financial advice to support the strategic objectives of the organisation.
Key Responsibilities:
* Oversee the organisation’s accounting functions, ensuring accurate and timely financial records are maintained and regular reporting obligations are met.
* Payroll responsibilities for a small team.
* Support the CEO in financial planning, budgeting, and forecasting.
Investment Management:
* Monitor the performance of the organisation’s investment portfolio, providing regular updates to the CEO and the Board and evaluate potential investment opportunities.
* Manage the day-to-day operational relationships with external financial advisors, banks, and investment partners to ensure best practices in investment management.
Governance & Risk Management:
* Monitor and assess the organisation’s exposure to financial risks, including investment risk, operational risk, and regulatory risk, ensuring that the organisation adheres to best practice corporate governance principles.
Company Secretariat Duties:
* Manage all company secretarial functions, ensuring compliance with relevant legal, regulatory, and corporate governance requirements.
Key Capabilities:
* Accounting & Financial Management: Strong knowledge of accounting standards, financial reporting, and financial control frameworks. Expertise in managing budgeting, forecasting, and cash flow. Xero software experience.
* Investment Management: Experience in managing investment portfolios, and advising on risk-adjusted investment strategies.
* Governance & Company Secretariat: In-depth understanding of corporate governance principles, company law, and secretariat functions. Experience attending board meetings and maintaining statutory records.
* Payroll: Xero software experience required.
* Risk Management: Strong ability to identify, assess, and mitigate financial and operational risks.
* Communication & Stakeholder Engagement: Excellent communication skills, both written and verbal, with the ability to liaise effectively with the Board, executive team, and external stakeholders.
Qualifications & Experience:
* Tertiary qualifications in Accounting, Finance, Law, Business Administration, or a related field.
* CPA/CA qualification or equivalent, with extensive experience in financial reporting and corporate governance.
* Proven experience in a company secretarial role, ideally in a not-for-profit or corporate environment.
* Demonstrated expertise in overseeing investment management and financial strategy.
* Strong understanding of corporate governance and compliance frameworks.
