The Role
We currently have a 14-month fixed term opportunity to join our Legal, Product & Commercial team as Senior Legal Counsel. This opportunity is open to work from either our Melbourne or North Sydney office in conjunction with our hybrid work from home options.
Reporting to the Head of Legal Product and Commercial, the Senior Legal Counsel will provide senior legal support to a broad range of work streams across MLC Life Insurance while an existing team member is on parental leave.
Your responsibilities will include:
* Providing legal support for mergers, transaction implementation and our organization’s other strategic projects.
* Providing efficient and effective legal support to product owners including new product development, product maintenance and improvement and advice on product obligations, policy drafting and reinsurance treaties.
* Providing legal support to our relationship channels including preparation and negotiation of distribution agreements, alliance and referrer agreements, fund tender support and sponsorship agreements;
* Providing Regulatory advice relevant to MLCL’s business including Corporations Act (Chapter 7), ASIC Act, Insurance Contracts Act, SIS, Life Insurance Act, Competition & Consumer law, Privacy Act, AML law, Do Not Call and anti-SPAM laws, Life Insurance Code of Practice and assisting our business to make submissions to regulators;
* Supporting the technology and procurement business managing the legal aspects of relationships with key commercial stakeholders including suppliers and shareholders;
* Providing practical and expert advice to executives and Board members on matters of governance, shareholder arrangements and documentation, directors duties. Bespoke contracts to support treasury as well as investment management and consulting function; and
* Driving continuous improvement in workflow and cost efficiency, panel management, knowledge management and team capability in the MLC Life Insurance legal practice.
About you
* 8+ years PQE in an Australian jurisdiction.
* A current and unrestricted Australian practicing certificate.
* Prior in-house experience is advantageous.
* Experience in insurance, financial services or another highly regulated industry is highly regarded.
* Demonstrated experience in procurement and IT contracting, mergers and acquisitions, and treasury work.
* Demonstrated effectiveness at managing multiple stakeholders and competing demands.
